Status. This is Strimeta's operational legal documentation prepared for launch. Mandatory law prevails over contractual text. Tyto podmínky upravují používání služby Strimeta zákazníkem, který jedná v rámci podnikání, organizace, neziskové či veřejné instituce nebo jiné profesní činnosti. Osoba přijímající podmínky musí být starší 18 let a oprávněná zákazníka zastupovat.

1. Služba

Strimeta poskytuje konektory, provozní přehledy, exporty, upozornění a analytiku online komunit. Discord, Discourse a další propojené platformy zůstávají samostatnými službami se svými pravidly.

2. Data zákazníka

Zákazník si zachovává práva k datům, která do Strimetau vloží nebo zpřístupní přes konektory. Strimeta je zpracovává jen v rozsahu potřebném k poskytnutí, zabezpečení a podpoře služby a podle DPA. Zákazník odpovídá za oprávnění komunitu připojit a za zákonnost svých pokynů.

3. Omezení

Strimeta nesmí být používán k neoprávněnému sledování osob, obcházení oprávnění platforem, prodeji dat, cílené reklamě nad komunitními daty, zakázanému profilování uživatelů Discordu ani jako jediný podklad pro právně či obdobně významná rozhodnutí o jednotlivci.

4. Platby

Placené plány se hradí bankovním převodem na účet u Fio banky. Strimeta může přes Fio API automaticky párovat příchozí platby s fakturami. Platební karty Strimeta v současném modelu nezpracovává.

5. Zrušení

Není-li v objednávce uvedeno jinak, zrušení zabrání dalšímu obnovení a služba běží do konce již uhrazeného období. B2B předplatné se standardně nevrací; tím nejsou dotčena práva, která nelze smluvně vyloučit, ani vrácení nevyužité části při podstatném neodstraněném porušení na straně Strimetau.

6. Bezpečnost a dostupnost

Strimeta používá přiměřená technická a organizační opatření, zálohy a incidentní postupy. Bez samostatné SLA není garantována nepřetržitá dostupnost.

7. Odpovědnost

V rozsahu dovoleném právem je souhrnná smluvní odpovědnost každé strany omezena na poplatky uhrazené nebo splatné za 12 měsíců před událostí, která nárok způsobila. Nelze tím vyloučit odpovědnost, kterou zákon vyloučit nedovoluje.

8. Ukončení a export

Po ukončení má zákazník nejméně 30 dnů na dostupný export dat, není-li dohodnuto jinak. Poté se aktivní zákaznická data mažou podle Retenční politiky; šifrované zálohy dožijí v řízené rotaci.

9. Rozhodné právo

Smlouva se řídí právem České republiky. Pro B2B spory jsou příslušné české soudy podle sídla provozovatele v rozsahu, v jakém je taková dohoda platná. Povinná pravidla jiného státu, která nelze vyloučit, zůstávají zachována.

Anglická globální verze obsahuje úplné znění a regionální dodatky; v případě rozporu s povinným právem má přednost povinné právo a příslušný regionální dodatek.

These Terms of Service ("Terms") govern access to and use of Strimeta (the "Service") by the customer identified during registration, ordering or an Order Form ("Customer"). By creating an account, connecting a community or using a paid feature, the Customer agrees to these Terms.

1. Eligibility and authority

1.1 The standard Service is offered on a business-to-business basis. The individual accepting these Terms must be at least 18 years old and authorised to act for the Customer.
1.2 Consumer checkout is not offered unless Strimeta expressly identifies a consumer plan and provides the mandatory consumer information for that market.
1.3 The Customer must provide accurate account and billing information and keep it current.

2. Service and integrations

2.1 Strimeta provides community integrations, data ingestion, operational analytics, dashboards, exports, alerts and related features described in the current product documentation or Order Form.
2.2 Third-party platforms such as Discord and Discourse remain independent services governed by their own terms. The Customer is responsible for having the rights, permissions and platform authorisations required to connect them.
2.3 The Service may change as Strimeta improves security, reliability or functionality. A material reduction of a paid core feature will not be applied retroactively during a committed paid term without a commercially reasonable alternative or termination/refund for the affected unused prepaid period.

3. Accounts and security

3.1 Each account is personal to the authorised user. Shared privileged credentials are prohibited unless a feature expressly supports service accounts.
3.2 The Customer must protect credentials, enable available multi-factor authentication for privileged roles and promptly report suspected compromise.
3.3 Strimeta may temporarily restrict access where reasonably necessary to contain abuse, security risk, unlawful processing, platform-rule violations or threats to other customers.

4. Customer Data and instructions

4.1 "Customer Data" means information submitted to, connected to or generated in the Service on behalf of the Customer, excluding Strimeta's own software, security telemetry and independently created de-identified statistics.
4.2 As between the parties, the Customer retains its rights in Customer Data. The Customer grants Strimeta a limited right to process Customer Data only as necessary to provide, secure, maintain and support the Service and as otherwise documented in the DPA.
4.3 The Customer is responsible for the lawfulness of its instructions, the notices and legal bases required for its community, and responding as controller to its community members unless applicable law allocates responsibility differently.
4.4 The Customer must not instruct Strimeta to collect data it does not need or to use connected-platform data in a manner prohibited by that platform.

5. Discord and other platform data

5.1 Strimeta will not use Discord API Data to build individual identity, relationship or behavioural profiles, sell or license API Data, target advertising, or train AI/ML systems on message content without the permissions required by Discord.
5.2 Community health, engagement, retention and moderation analytics must be designed primarily at community, cohort or suitably aggregated level.
5.3 If a platform changes its rules or technical access, Strimeta may modify or disable affected functionality without being in breach where continuation would be unlawful or violate binding platform terms.

6. Acceptable use

The Customer must comply with the Strimeta Acceptable Use Policy. In particular, the Customer may not use Strimeta to unlawfully surveil individuals, discriminate, dox, harass, scrape unauthorised data, bypass platform restrictions, create prohibited high-impact profiles or make solely automated legal/similarly significant decisions about individuals.

7. Fees, bank payments and taxes

7.1 Paid plans are invoiced in the currency and billing cycle shown at purchase or in an Order Form. Payment is normally made by bank transfer to an account held with Fio banka.
7.2 Strimeta may use Fio API transaction metadata to reconcile incoming transfers with invoices. Strimeta does not request or store payment-card numbers or CVV data.
7.3 Fees are exclusive of taxes unless expressly stated otherwise. Each party is responsible for taxes imposed on it by law. Strimeta may add VAT, GST, sales tax or similar charges where required.
7.4 Late undisputed amounts may result in suspension after reasonable notice. Statutory rights and mandatory invoicing/tax rules prevail.

8. Cancellation and refunds

8.1 Unless an Order Form states otherwise, either party may stop renewal before the next billing period. Access continues through the already-paid period.
8.2 Prepaid fees are non-refundable except where these Terms, an Order Form or mandatory law provides otherwise, including a material uncured breach by Strimeta affecting the paid Service.
8.3 On termination, Customer may request/export available Customer Data during the exit period described in the Data Portability and Exit Policy.

9. Intellectual property

9.1 Strimeta and its licensors retain all rights in the Service, software, documentation, trademarks, templates and product design.
9.2 Feedback may be used to improve Strimeta without restriction provided it does not disclose Customer Confidential Information or identify individuals from Customer Data.
9.3 Strimeta may generate aggregate/de-identified service statistics that cannot reasonably be linked to a Customer's individual community members, and may use those statistics for reliability, capacity planning, security and product improvement.

10. Confidentiality

Each party will protect the other's non-public information using reasonable care and use it only for the agreement. Confidentiality does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received without confidentiality duty. Legally compelled disclosure is permitted subject to the Government Request Policy and applicable law.

11. Privacy and security

11.1 The Privacy Notice describes processing for which Strimeta acts as controller.
11.2 The DPA governs Customer Personal Data processed on Customer's behalf.
11.3 Strimeta maintains the technical and organisational measures described in the Security and TOMs document. Security is risk-based and no internet service can guarantee absolute security.

12. Availability and support

Unless a separate SLA is purchased, Strimeta does not guarantee uninterrupted availability. Planned maintenance and emergency security work may occur. Strimeta will use commercially reasonable efforts to restore material service failures and maintain recoverable backups according to the Backup and Retention Policies.

13. Warranties and disclaimers

Each party warrants it has authority to enter the agreement. To the maximum extent permitted by law, the Service is otherwise provided on an "as available" basis and Strimeta disclaims implied warranties not capable of exclusion. Strimeta does not warrant that analytics are suitable as the sole basis for personnel, disciplinary, legal, credit, insurance, housing, education, health or similarly significant decisions.

14. Liability

14.1 Nothing excludes liability that cannot legally be excluded, including liability arising from intentional misconduct where applicable law prohibits exclusion.
14.2 Subject to section 14.1, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill or anticipated savings, except to the extent such exclusion is prohibited.
14.3 Subject to section 14.1, each party's aggregate contractual liability arising from the Service is limited to the fees paid or payable for the Service during the 12 months preceding the event giving rise to the claim.
14.4 The limitation does not reduce statutory data-protection remedies that cannot lawfully be limited.

15. Indemnity for unlawful Customer use

To the extent permitted by law, Customer will defend and indemnify the Provider against third-party claims caused by Customer's unlawful instructions, lack of authority to connect a community, deliberate platform-rule breach, or prohibited use of Customer Data, excluding the extent caused by Strimeta's breach or negligence.

16. Suspension and termination

Strimeta may suspend affected processing immediately where necessary for security, sanctions compliance, legal orders, platform compliance or prevention of material harm. For other material breaches, the breaching party normally receives a reasonable cure period. Either party may terminate for an uncured material breach or insolvency where permitted by law.

17. Export and deletion after termination

Strimeta will provide available machine-readable export tools and a reasonable exit window. After that window, active Customer Data is deleted according to the Retention Policy unless law requires retention. Backup copies expire through controlled rotation and are not used for ordinary operations.

18. Sanctions and export controls

Customer represents that it is not prohibited from receiving the Service under sanctions or export-control laws applicable to the Provider. Strimeta may block or terminate access where required by binding sanctions or export restrictions.

19. Governing law and disputes

The agreement is governed by the laws of the Czech Republic, excluding conflict-of-law rules. Courts competent for the Provider's business seat will have jurisdiction to the extent a valid B2B jurisdiction agreement is permitted. Mandatory rights under applicable privacy, competition, insolvency, consumer or other non-waivable law remain unaffected.

20. Regional mandatory rules

The applicable Regional Supplement forms part of these Terms where mandatory law requires additional rights or limitations. If a Regional Supplement conflicts with these Terms, the Regional Supplement prevails only for the affected jurisdiction and subject matter.

21. Changes

Strimeta may update these Terms for legal, security or product reasons. Material adverse changes will be notified in advance where reasonably practicable and will not retroactively remove accrued rights. Continued use after the effective date constitutes acceptance where permitted by law.

22. Entire agreement and order of precedence

The Order Form, these Terms, the DPA, applicable Regional Supplement and referenced policies form the agreement. For data-processing conflicts, the DPA and mandatory transfer clauses prevail. For commercial scope/pricing, an expressly negotiated Order Form prevails over these Terms.
